Microsoft never brands the Zune with "Microsoft".
Look at the Zune HD - there's no where that says it's from Microsoft. (except for the Hi from Seattle part, but that means it could be from Boeing).
So no, it's not a Zune HD 2.

It depends on the upgrade, but generally, you should never ever upgrade your jailbroken / unlocked iPhone in case you brick your phone.
