I think Panarama is a great idea. In truth I believe someone should try to make a browser interface with it replacing Tabs since it's more intuitive.
By the way "tabs on top" makes sense because that's the natural way for tabs to be. Folder tabs are the analogy they use so it makes perfect sense for them to be located at the top like folder tabs are. Indeed this is the way many other applications that have tabs worked. In Chrome this fact should be pretty clear given the shape in the same used on many folders.

I don't think Panorama can replace tabs, but it is an excellent augmentation.
As for tabs on top, the biggest reason Mozilla has made this move in Firefox 4 is because of UI hierarchy. Watch this video for an explanation: http://www.youtube.com/watch?v=HmgtW2Iw-kE
